Hagens Berman Probes Photronics Over Alleged Securities Fraud

Shareholders are facing a September 4 deadline to join a class action lawsuit against Photronics, Inc. The litigation follows claims that the company misled investors about the health of its high-end integrated circuit product line, eventually triggering a massive 36% stock price collapse last May.

Hagens Berman Probes Photronics Over Alleged Securities Fraud

The legal investigation centers on a period between December 10, 2025, and May 27, 2026. Hagens Berman, a national shareholder rights firm, is examining allegations that Photronics management issued false assurances regarding global demand and order patterns. While leadership touted a robust pipeline, the complaint suggests they ignored severe bottlenecks caused by elevated equipment costs and high fab usage rates.

The discrepancy surfaced on May 28, 2026, when the firm disclosed disappointing second-quarter results. Photronics reported an 11% drop in integrated circuit revenue and compressed margins, citing operational hurdles and a failed post-holiday recovery. The revelation wiped out over $1.1 billion in market capitalization in a single day. Reed Kathrein, the Hagens Berman partner leading the inquiry, stated the firm is now working to pinpoint exactly when executives became aware that product demand was deteriorating.
