Investors have launched a class action lawsuit against EquipmentShare following a double-digit stock decline triggered by reports that the company’s co-founders pocketed at least $77 million through undisclosed related-party transactions. The legal challenge centers on allegations that the firm misled shareholders during its recent public offering.

The lawsuit, filed in the U.S. District Court for the Southern District of New York, accuses EquipmentShare and its executives of violating federal securities laws. According to the complaint, titled Parra v. EquipmentShare.com Inc., the company failed to accurately disclose the extent of self-dealing involving its co-founders. The dispute highlights the firm's "OWN Program," a platform for renting construction equipment, which plaintiffs allege was used to funnel significant payments to a network of 130 founder-affiliated entities.

The market reaction was swift after Umibōzu Research published findings detailing the alleged financial improprieties on June 24, 2026. EquipmentShare stock fell 6.6% that day, followed by an 11.7% drop on June 25, erasing substantial value for shareholders. The litigation asserts claims under the Securities Exchange Act of 1934 and the Securities Act of 1933. Investors seeking to serve as lead plaintiffs in the case have until September 21, 2026, to petition the court.
