The merger values Canopy Wave at $60 million and SAIHEAT at $40 million, resulting in a firm where Canopy Wave’s leadership will hold a majority of both economic interest and voting power. Following the close, expected by the end of 2026, the company plans to transition from a foreign private issuer to U.S. domestic reporting requirements. The deal includes a $4.5 million private placement to bolster the combined entity's capital position.
SAIHEAT to Merge with Canopy Wave in AI Inference Pivot
SAIHEAT Limited is set to merge with Santa Clara-based AI startup Canopy Wave in a deal designed to pivot the company toward the rapidly expanding market for open-weight large language model inference. Upon completion, the combined entity will relocate its headquarters to California and adopt the ticker symbol CWAV on the Nasdaq.

Management intends to leverage SAIHEAT’s modular data center infrastructure to support Canopy Wave’s full-stack inference platform, which specializes in GPU cloud services and enterprise-grade security. CEO Tao Zhang and CTO James Liao will lead the new organization, focusing on delivering cost-efficient token output services to developers and enterprises. The boards of both companies have unanimously approved the transaction, which remains subject to shareholder approval and standard regulatory conditions.
