The legal action, spearheaded by Faruqi & Faruqi, LLP, alleges that Futu misled shareholders by conducting securities, public fund sales, and futures businesses in mainland China without securing necessary CSRC approvals. According to the complaint, these undisclosed activities exposed the firm to substantial regulatory penalties, including the disgorgement of gains and fines totaling approximately 1.85 billion RMB, or roughly 271 million USD.
Market reaction to the regulatory scrutiny was sharp. Following disclosures regarding the CSRC notification in May 2026, Futu stock dropped more than 27%. A subsequent report detailing the financial impact of these penalties triggered an additional 5% decline. The lawsuit claims that these regulatory hurdles rendered the company's previous financial reporting and public statements materially misleading.
