MiniMed Files S-4 Registration as Medtronic Divorce Nears Final Stage

Northridge-based MiniMed has filed a Form S-4 Registration Statement with the SEC, marking a pivotal step in Medtronic’s plan to divest its remaining 89.86% stake. The offer allows Medtronic shareholders to trade their existing ordinary shares for a stake in the independent insulin delivery company.

The proposed exchange covers up to 225,361,295 shares of MiniMed stock, representing 80.1% of its outstanding equity. Should the offer face oversubscription, Medtronic intends to distribute its entire remaining interest—an additional 27,452,053 shares—without extending the current timeline. Once completed, the transaction will sever Medtronic’s final equity ties to the manufacturer.

For MiniMed CEO Que Dallara, the filing signals the transition into a fully autonomous entity. While the move does not alter the company’s clinical focus on diabetes management, it grants the leadership team total control over capital allocation and product development. Dallara emphasized that the separation places the burden of execution squarely on the company, ending years of corporate oversight.
