The offering, managed by J.P. Morgan Securities as the sole underwriter, involves a significant portion of the stake held by the selling shareholder, which previously owned roughly 20% of the company's Class A common stock. To manage market demand, the underwriter holds a 30-day option to acquire an additional 1.35 million shares. TORM plc confirmed that it is not participating in the sale and will receive no proceeds from the transaction.
Oaktree Capital prices $290 million TORM share sell-off
Oaktree Capital-affiliated entity OCM Njord Holdings has priced a secondary offering of 9 million Class A shares in tanker operator TORM plc, aiming for gross proceeds of approximately $290.25 million. The transaction, which excludes any direct capital infusion for the company itself, is expected to finalize by September 16, 2026.

Headquartered in Hellerup, Denmark, TORM maintains a global fleet of product tankers. The secondary offering follows a shelf registration statement filed with the U.S. Securities and Exchange Commission. While the company operates in a cyclical industry sensitive to geopolitical shifts and regulatory changes, this move represents a strategic capital adjustment for its major shareholder rather than a shift in TORM's operational trajectory.
