The complaint filed by Robbins LLP alleges that Hyliion issued materially false statements regarding its collaboration with VFG Holdings, an entity formed in January 2026. Investors who purchased Hyliion stock between May 12 and June 23, 2026, claim the partnership was a tactical move to drive up share prices, allowing insiders to offload stock before the truth surfaced.
The facade began to crumble on June 23, 2026, when a report from Pelican Way Research highlighted critical red flags: VFG appeared to lack actual business operations, possessed a minimal web presence, and employed only four people. Market reaction was immediate, with Hyliion shares plummeting 16% that day, followed by a further 19% decline to $4.92 per share by June 24.
