The alleged misconduct surfaced after market hours on July 14, 2026, when Pentair announced preliminary second-quarter results that fell significantly short of expectations. The company reported sales of approximately $930 million, missing previous forecasts of $1.14 billion, and attributed a $170 million hit to its Pool segment to inventory issues. Alongside the downgraded full-year outlook—projecting a sales decline of 4% to 7%—Pentair disclosed the immediate resignation of CFO Nicholas Brazis after only four months in the position. Pentair shares fell 15% the following day, closing at $64.33.
