The issuance includes $1.75 billion in 2032 notes at 6.050%, $1 billion in 2034 notes at 6.600%, $1 billion in 2036 notes at 6.950%, and $1 billion in 2056 notes at 7.850%. All securities are priced near par, with the 2032 notes at 99.839% and the 2056 notes at 99.921% of their aggregate principal amount.
Charter Communications Prices $4.75 Billion in Senior Secured Notes
Charter Communications has priced $4.75 billion in senior secured notes to finance its acquisition of Cox Communications. The offering, split across four tranches maturing between 2032 and 2056, represents a significant move for the Stamford-based broadband giant as it secures capital for its expansion strategy.

Charter expects the deal to close on August 18, 2026. The company stated that the offering is independent of the Cox Transactions, meaning the debt will be issued regardless of whether the acquisition deal finalizes. Citigroup Global Markets, Morgan Stanley, and Wells Fargo Securities are serving as joint book-running managers for the transaction. Proceeds will support the Cox acquisition and general corporate operations, including the repayment of existing debt.
