Verlaine’s departure, effective September 30, 2026, marks a strategic pivot for the group as it refines its oversight policies. By exiting both the Board of Directors and the Audit Committee, Verlaine creates a clearer separation between his firm’s ongoing commercial relationships with SWI and the company's internal decision-making processes.
SWI Capital Holding reshuffles board to tighten governance
Conflict of interest concerns have prompted a boardroom overhaul at SWI Capital Holding as Jean-Pierre Verlaine steps down from his directorship. The move aims to decouple the company’s governance from the Engelwood Group, an investment firm that maintains active business ties with the Singapore-based digital infrastructure platform.

Filling the vacancy is Ido Shavit, the current CEO of Cycling Academy Ltd. Shavit joins as an Independent Non-Executive Director and will face a shareholder re-election vote at the next Annual General Meeting. Meanwhile, the Audit Committee has been restructured to include Fernando Bolivar, who joins Chair Joseph Benhamou and Fang Ai Lian to oversee the group's financial integrity. Arnaud de Puyfontaine, Chairman of SWI, cited these changes as a necessary evolution to reinforce the firm's governance framework while maintaining its core investment strategy.
